By accessing or using Xerotier.ai you agree to these Terms of Service. These terms form a binding contract between you and Xerotier.ai. If you are using the service on behalf of an organization, you confirm you have authority to bind that organization.
2 What the service is
plain english Xerotier is an OpenAI-compatible inference router. We route your API calls to worker agents and bill on usage.
Xerotier.ai provides an OpenAI-compatible inference router and a set of managed surfaces built on it, including a hosted chat experience, optional public sharing of conversations, and hosting for files, artifacts, and models you upload. The router receives API requests, scores worker candidates, dispatches the request, and returns the response. We do not train our models on your inputs or outputs. We retain content only as described in our Privacy Policy; chat history persists until you delete it.
3 Account
plain english Give us accurate sign-up information. Keep your credentials safe. Tell us if they leak.
Provide accurate registration information and keep it current.
Keep API keys, session tokens, and join-keys confidential. You are responsible for activity under your credentials.
Notify us promptly at contact@xerotier.ai of any unauthorized access or suspected key compromise.
Be at least 18 years old. By registering you represent that you are 18 or older; we do not knowingly allow accounts for, or collect personal information from, anyone under 18.
4 Acceptable use
plain english Do not use the service to break the law, attack our systems, or run abuse pipelines through us.
Your use is also governed by our Acceptable Use Policy, which is part of these Terms. Where the two conflict on permitted conduct, the Acceptable Use Policy controls.
You agree not to use the service to:
Violate any law that applies to you or to us.
Infringe intellectual-property, privacy, or publicity rights.
Generate or distribute malware, spam, phishing, or child sexual abuse material.
Attempt to bypass quotas, rate limits, isolation boundaries, or worker leases.
Probe, scan, or fuzz the router or any worker outside the documented endpoints.
Resell raw inference capacity as a near-identical drop-in service without a written reseller agreement.
Suspected violations may be investigated. Confirmed violations may result in throttling, suspension, or termination under section 10.
5 Your content and models
plain english You own what you upload and what you generate. We get only the rights we need to run the service for you.
You retain all rights to prompts, completions, fine-tunes, adapters, and any models you upload. By submitting content you grant Xerotier.ai a non-exclusive, worldwide, royalty-free license to host, transmit, cache, and process that content solely to operate the service for you.
You represent that you have the rights necessary to upload or deploy any model, adapter, or dataset on the platform, and that doing so does not violate any third-party license.
As between you and Xerotier.ai, and to the extent we hold any rights in Output generated for you, we assign those rights to you. You are responsible for your Output and how you use it. Output is probabilistic and may not be unique; similar or identical Output may be generated for other users.
6 Pricing and payment
plain english Pricing is usage-based and published. Price changes get 30 days written notice.
Current pricing is shown on the pricing page. Charges are usage-based and recorded against an atomic credit ledger. We may change pricing on 30 days notice sent to the email on your account; continued use after the effective date constitutes acceptance.
Disputed charges must be raised within 60 days of the invoice date or are deemed accepted.
7 Availability
plain english The service is provided as-is. Per-plan SLAs, when offered, are in your written service agreement.
Xerotier.ai targets continuous operation but does not guarantee uninterrupted availability. Maintenance windows, upstream outages, hardware faults, and worker repartitioning may cause transient unavailability. Service-level commitments, if any, are set out in your written service agreement and not in these public terms. Posture and certification status is summarized on /compliance.
8 No warranty
plain english The service comes with no implied warranties. Outputs from language models can be wrong; check before you act.
The service is provided "as is" and "as available". To the maximum extent permitted by law, Xerotier.ai disclaims all warranties, express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. Outputs produced by language models are probabilistic and may be incorrect, biased, or unsafe; you are responsible for evaluating outputs before relying on them.
9 Limitation of liability
plain english Our total liability for the service is capped at what you paid us in the prior 12 months.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data. Aggregate liability arising out of or relating to the service is capped at the fees you paid Xerotier.ai for the service in the twelve months preceding the event giving rise to the claim.
10 Termination
plain english Either side can end this contract. We delete your data according to the retention schedule on the Privacy page.
Either party may terminate this agreement at any time on written notice. Upon termination, your access to the service ends and we delete account data on the schedule set out in our Privacy Policy retention section. Provisions that by their nature survive termination, including sections 5, 8, 9, and any accrued payment obligations, survive termination.
11 Changes to these terms
plain english Material changes get 30 days written notice. The "version" line in the page header bumps when this happens.
We may amend these terms from time to time. Material changes will be announced by email to the address on your account and by bumping the version tag in the page header above. Continued use of the service after the effective date constitutes acceptance of the revised terms.
12 Contact
plain english Reach legal at the address below. Security incidents go to the security mailbox in section 3.
plain english Tell us about infringing content and we will act. Repeat infringers lose their accounts.
We respond to notices of claimed copyright infringement under the DMCA (17 USC 512) and terminate repeat infringers. Send notices and counter-notices to our designated agent as described at /dmca. We may remove or disable access to material we believe in good faith is infringing.
14 Export and sanctions
plain english You confirm you are allowed to use the service under US export and sanctions law.
You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive US sanctions, and that you are not identified on any US government restricted-party or denied-persons list. You will not use the service, or upload or download models, in violation of US export-control or sanctions laws.
15 Dispute resolution
plain english We try to resolve disputes informally. Otherwise they go to individual arbitration, not court or class actions. You can opt out within 30 days.
Most disputes can be resolved informally; contact contact@xerotier.ai first. If we cannot resolve a dispute, you and Xerotier.ai agree to binding individual arbitration and waive the right to a jury trial and to participate in a class action. You may opt out of this arbitration agreement by emailing contact@xerotier.ai within 30 days of first accepting these Terms. Small-claims actions and requests for injunctive relief for intellectual-property misuse are excepted. Governing law and venue: Texas, USA.
